1. Acceptance of Terms

By creating an account, accessing, or using Humanly ("the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, do not create an account or use the Service. Humanly is operated by Humanly ("we", "us", or "our") and is accessible at gohumanly.app.

2. Eligibility

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you are at least 18 years of age and legally capable of entering into binding agreements. Misrepresentation of your age may result in immediate termination of your account.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and truthful information during registration and onboarding, and to keep your profile information up to date. You may not create an account using a false identity or information provided by another person without their authorization.

4. Acceptable Use

You agree NOT to use the Service to:

• Harass, bully, intimidate, threaten, or stalk any person;
• Send unsolicited sexual content, advances, or otherwise sexually harass other users;
• Impersonate any person or entity, or falsely represent your identity, age, or intentions;
• Solicit money, goods, or services, or use the Service for any commercial purpose without our prior written consent;
• Promote or engage in any illegal activity, including but not limited to prostitution, human trafficking, or drug sales;
• Distribute malware, spam, or any malicious code;
• Scrape, copy, or systematically extract data from the Service;
• Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems;
• Use the Service in a way that could damage, disable, overburden, or impair the Service.

Violations may result in content removal, account suspension, or permanent termination without notice.

5. User Content

You retain ownership of content you submit to the Service, including profile text, photos, and messages. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, use, display, and process that content for the purpose of operating and improving the Service. You represent that you have all necessary rights to the content you submit and that it does not violate any third-party rights or applicable law.

We reserve the right to remove or restrict any content that we believe violates these Terms or is otherwise objectionable, but we have no obligation to monitor user content.

6. Interactions and Safety

Humanly facilitates connections between users but does NOT conduct criminal background checks, identity verification, or safety screenings on its users. We do not guarantee the identity, character, or intentions of any person using the Service.

You are solely responsible for your interactions with other users. We urge you to exercise caution and good judgment when communicating with or meeting other users.

Safety guidelines:

• Do not share financial information, home address, or other sensitive personal details with people you do not know;
• When meeting in person, always choose a public, well-lit location;
• Inform a friend or family member of your plans, including where you are going and who you are meeting;
• Arrange your own transportation to and from the meeting location;
• Trust your instincts — if a situation feels unsafe, remove yourself immediately;
• Report suspicious, abusive, or dangerous behavior to us and, where appropriate, to law enforcement.

7. Disclaimer of Liability for User Conduct

The Service is provided on an "as is" and "as available" basis. We are not liable for the conduct, statements, or actions of any user or third party, nor for any injury, loss, or damage of any kind arising from interactions with other users, whether online or offline. You use the Service at your own risk.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any matches or connections will be successful.

8. Limitation of Liability

Under no circumstances shall we, our officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you have paid us in the preceding twelve (12) months, or one hundred dollars ($100), whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Humanly, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your infringement of any third-party rights, or your interactions with other users.

10. AI-Generated Content

The Service uses artificial intelligence to assist with profile creation, conversation suggestions, and compatibility insights. AI-generated content may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and approving any AI-assisted content before it is shared or published on your profile. We do not guarantee the accuracy or reliability of AI-generated suggestions.

11. Privacy

Your use of the Service is also governed by our Privacy Policy. Your email address is used only for authentication and account recovery and is never displayed to other users. Profile information you choose to share is visible to other users as described in the Privacy Policy.

12. Account Termination

You may delete your account at any time from the profile settings page. We reserve the right to suspend or terminate your account at our sole discretion, without notice, if we believe you have violated these Terms or any applicable law. Upon termination, your right to use the Service ceases immediately.

13. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Humanly is operated, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising from these Terms or your use of the Service.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Humanly regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral.
